1. Definitions
In these Terms and Conditions:
- "Pyxis Lane", "we", "us", or "our" refers to Pyxis Lane Sdn Bhd, registered in Malaysia.
- "Client" or "you" refers to the organisation or individual that engages our services or uses this website.
- "Services" refers to Team Alignment Workshops, Leadership Development Series, Organisation Design Engagements, and related consulting work.
- "Agreement" refers to these Terms and Conditions together with any engagement letter or proposal you have accepted.
- "Website" refers to pyxis.blog.
2. Acceptance of Terms
By using this website or engaging our services, you confirm that you are authorised to enter into a binding agreement on behalf of your organisation, that you are at least eighteen years of age, and that you accept these Terms in full. If you do not accept these Terms, please do not use our website or engage our services.
3. Services
Pyxis Lane provides organisational and team development consulting to companies in Malaysia. Our services are advisory in nature and do not constitute legal, financial, medical, or regulated professional advice. Engagement scope, deliverables, and timelines are agreed in writing prior to commencement.
We reserve the right to decline any engagement where we do not believe our services are suitable for the client's situation.
4. Engagement Terms
4.1 Planning call
Each engagement begins with a planning call at no additional cost. This call is used to define scope and objectives. No engagement work commences until both parties have agreed scope in writing.
4.2 Scope and changes
Scope is defined in the engagement letter or proposal. If you request changes to scope after the engagement has begun, we will discuss feasibility and any impact on pricing or timeline before proceeding.
4.3 Client responsibilities
You agree to provide timely access to relevant people, information, and facilities as reasonably needed to deliver the engagement. Delays caused by insufficient client cooperation may affect timelines and deliverable dates.
5. Pricing and Payment
Prices for our engagements are published on our website in Malaysian Ringgit (RM). All prices are inclusive of preparation, facilitation, and the written deliverable described for each engagement. Travel within Klang Valley is included. Any additional costs (for example, travel outside Klang Valley or venue hire) will be agreed in writing before they are incurred.
Payment terms are set out in the engagement letter. We typically invoice on commencement of the engagement with payment due within fourteen days. We reserve the right to pause work where invoices are materially overdue.
6. Intellectual Property
All frameworks, templates, and proprietary materials developed by Pyxis Lane and used in your engagement remain our intellectual property. The written deliverables produced for your specific engagement are yours to use within your organisation without restriction. You may not commercialise, redistribute, or rebrand our materials without written permission.
7. Confidentiality
Both parties agree to keep confidential any information shared during the engagement that is not publicly available. Pyxis Lane will not share specifics of your engagement with other clients. This obligation survives termination of the engagement for a period of three years.
8. Disclaimers
Our services are advisory. We do not warrant specific business outcomes from our engagements. The recommendations and materials we provide are based on our professional judgement applied to the information you share with us. The quality and completeness of that information affects the quality of our work.
Our website is provided on an "as available" basis. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Pyxis Lane's total liability to you arising from or in connection with an engagement will not exceed the fees paid for that specific engagement. We are not liable for indirect, consequential, or special losses, including loss of profit, loss of business, or loss of data.
10. Termination
Either party may terminate an engagement with written notice if the other party materially breaches these Terms and fails to remedy the breach within fourteen days of notification. We may also terminate if payment is not received within thirty days of the invoice due date. On termination, you are liable for fees covering work completed to the termination date.
11. Indemnification
You agree to indemnify Pyxis Lane against any claims, losses, or costs arising from your misuse of our services or your provision of inaccurate or misleading information during an engagement.
12. Dispute Resolution
In the event of a dispute, both parties agree to attempt informal resolution first by contacting [email protected]. If informal resolution is not achieved within thirty days, disputes shall be referred to mediation before litigation. These Terms are governed by the laws of Malaysia. The courts of Kuala Lumpur shall have non-exclusive jurisdiction.
13. General Provisions
- Entire agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties on the subject matter.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be indicated by a revised "Last Updated" date. Continued use of our website or services after an update constitutes acceptance of the revised Terms.
